END USER LICENSE AGREEMENT (EULA) FOR CLOUDBILL, LLC

IMPORTANT – PLEASE READ CAREFULLY:

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “You”) and CloudBill, LLC (“we,” “us,” or “our”) governing your access to and use of the CloudBill software platform (“Platform”). By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree to these terms, you must not use or access the Platform.

  1. GRANT OF LICENSE CloudBill, LLC grants you a non-exclusive, non-transferable, limited license to access and use the Platform solely for your internal business purposes in compliance with this Agreement and applicable laws.
  2. RESTRICTIONS You shall not:
    • Modify, reverse engineer, decompile, or disassemble the Platform.
    • Transfer, sublicense, lease, rent, or distribute the Platform to third parties.
    • Use the Platform in any unlawful or prohibited manner.
    • Remove or alter proprietary notices from the Platform.
  1. INTELLECTUAL PROPERTY RIGHTS All rights, title, and interest in and to the Platform, including all intellectual property rights, remain exclusively with CloudBill, LLC and its licensors. This Agreement does not grant any ownership rights in the Platform.
  2. USER ACCOUNTS You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately if you suspect unauthorized access to your account.
  3. DATA PRIVACY Your use of the Platform is subject to CloudBill, LLC’s Privacy Policy. By using the Platform, you consent to the collection, use, and disclosure of your data as described in the Privacy Policy.
  4. DISCLAIMER OF WARRANTIES THE PLATFORM IS PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CLOUDBILL, LLC DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  5. LIMITATION OF LIABILITY IN NO EVENT SHALL CLOUDBILL, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM.
  6. TERMINATION CloudBill, LLC may terminate this Agreement immediately if you breach any terms of this Agreement. Upon termination, you must cease all use of the Platform.
  7. INDEMNIFICATION You agree to indemnify, defend, and hold harmless CloudBill, LLC, its affiliates, employees, officers, directors, and licensors from any claims, damages, losses, liabilities, costs, or expenses arising from your breach of this Agreement or your use of the Platform.
  8. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], excluding its conflict of laws provisions. Any disputes will be subject to the exclusive jurisdiction of the courts located in [Your Jurisdiction].
  9. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between you and CloudBill, LLC regarding your use of the Platform and supersedes all prior or contemporaneous understandings or agreements.
  10. AMENDMENTS CloudBill, LLC reserves the right to modify or amend this Agreement at any time. Changes will be effective upon posting the updated Agreement on the Platform. Continued use of the Platform constitutes acceptance of the amended terms.

BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.
