End User License Agreement

1Grant of License

CloudBill, LLC grants you a non-exclusive, non-transferable, limited license to access and use the Platform solely for your internal business purposes in compliance with this Agreement and applicable laws.

2Restrictions

You shall not:

• Modify, reverse engineer, decompile, or disassemble the Platform.
• Transfer, sublicense, lease, rent, or distribute the Platform to third parties.
• Use the Platform in any unlawful or prohibited manner.
• Remove or alter proprietary notices from the Platform.

3Intellectual Property Rights

All rights, title, and interest in and to the Platform, including all intellectual property rights, remain exclusively with CloudBill, LLC and its licensors. This Agreement does not grant any ownership rights in the Platform.

4User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately if you suspect unauthorized access to your account.

5Data Privacy

Your use of the Platform is subject to CloudBill, LLC's Privacy Policy. By using the Platform, you consent to the collection, use, and disclosure of your data as described in the Privacy Policy.

8Termination

CloudBill, LLC may terminate this Agreement immediately if you breach any terms of this Agreement. Upon termination, you must cease all use of the Platform.

9Indemnification

You agree to indemnify, defend, and hold harmless CloudBill, LLC, its affiliates, employees, officers, directors, and licensors from any claims, damages, losses, liabilities, costs, or expenses arising from your breach of this Agreement or your use of the Platform.

10Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, excluding its conflict of laws provisions. Any disputes will be subject to the exclusive jurisdiction of the courts located in Delaware.

11Entire Agreement

This Agreement constitutes the entire agreement between you and CloudBill, LLC regarding your use of the Platform and supersedes all prior or contemporaneous understandings or agreements.

12Amendments

CloudBill, LLC reserves the right to modify or amend this Agreement at any time. Changes will be effective upon posting the updated Agreement on the Platform. Continued use of the Platform constitutes acceptance of the amended terms.
